1.      ELIGIBILITY.  NO PURCHASE REQUIRED TO ENTER OR WIN.  The Sweepstakes is open to legal residents of the 50 United States (including District of Columbia) who are 18 years or older at the time of entry.  Employees of Yamaha Corporation of America (“Yamaha” or “Sponsor”) and its parent and subsidiaries, and their immediate family members (spouse, parents, children and siblings and their respective spouses) are ineligible to enter and win.   By participating in this Sweepstakes, you agree to these Official Rules, Yamaha’s Terms of Use and Privacy Policy, as stated herein.    The Sweepstakes is void where prohibited by law, regulation and ordinance, and in U.S. possessions and territories.   All federal, state and local laws apply. 

2.     SWEEPSTAKES PERIOD.  The Sweepstakes begins at 8:00 a.m. PT on December 16, 2022, and ends at 5:00 p.m. PT on December 22, 2022 (“Sweepstakes Period”).    

3.     ENTRY.    During the Sweepstakes Period, do the following via your account on Instagram (if you don’t have an account yet, they are free to create): 

(a)   Create an Instagram Reel of you playing one of the songs identified at the end of these Official Rules, all of which are in the public domain.   

(b)   Share your Reel on Instagram and be sure to mention @YamahaMusicUSA & @BLKBOK and tag #yamahamusicSweepstakes in your post;

(c)   Leave a comment on your post or add to the post caption a message letting us know you want to win a Yamaha Keyboard”;  OR do the same by commenting on the sweepstakes announcement post on @BLKBOK’s Instagram channel stating why you want to win the keyboard from Yamaha.

All the above steps are necessary to complete an entery (“Entry”).  All Entries also must comply with Instagram’s terms.   Make sure your Instagram account is set to “public” so we can see your Entry.  Instagram is not a sponsor of or associated in any way with this Sweepstakes.

In addition, all Entries must: (a) be the exclusive original work of the entrant; (b) be in keeping with the Sponsor’s image; (c) not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon the rights of any person or entity, including but not limited to copyright, trademark, privacy or publicity; (d) not contain any commercial/corporate advertising, including but not limited to corporate logos, brand names, and slogans other than the Sponsor’s; (e) not depict any conduct or content that is unsafe, immoral, obscene, or otherwise inappropriate; and (f) not have been submitted in any other Contest or won any prize.

Limit one Entry per person and per Instagram account.  Any attempt to enter additional times with multiple names, email addresses, Instagram accounts, or any other means is grounds for disqualification if detected.  Not responsible for late, lost or illegible entries.    Entries must be received during the Sweepstakes Period.  Proof of sending is not proof of receipt.  Sponsor’s database computer is the official timekeeping device for this Sweepstakes.  Entries will not be acknowledged.  In the event of a dispute over the identity of an entrant, the Entry will be deemed made by the authorized account holder of the email address associated with the Instagram account used to make the Entry posting, which must be the same account used to post the comment described in Section 3(c) above.  “Authorized account holder” is defined as the natural person who is assigned to an email address associated with the relevant social media account or VideoAsk Submission.

Each entrant represents and warrants that he/she has obtained permission from any and all recognizable persons other than the entrant depicted in an Entry, that all such persons are 18 years of age or older and agrees, upon request, to furnish written proof of such permission.  Failure to meet any of the requirements above, or to otherwise comply with these Official Rules, may result in disqualification.  Sponsor reserves the right to delete or blur any inappropriate content from a Submission without disqualifying the entry where such change does not materially alter the submission and the entrant has otherwise attempted in good faith to comply with these Official Rules

4.    PUBLICITY/USAGE RIGHTS.  You acknowledge and agree that Sponsor (and those acting with its authorization) will have the non-exclusive right to copy, reproduce, edit, broadcast, and otherwise use your Entry, in whole or in part, in any way, in any medium whether now existing or later discovered, worldwide, in perpetuity, including but not limited to posting online, without consideration.  Participation in the Sweepstakes and/or receipt or use of any Prize further constitutes the winner’s consent for use of his/her Entry, name, likeness, voice, opinions, statements, biographical information, and/or hometown and state for promotional or advertising purposes in any media, worldwide, now known or hereafter developed, in perpetuity, without further review, notification, payment, or any additional consideration (unless prohibited by law).

5.    ODDS.   Odds of winning in this random-draw Sweepstakes depend on the number of eligible entries received.  

6.    WINNER SELECTION, NOTIFICATION, ETC.   On or about December 23, 2022, the potential winners will be selected at random from among all eligible entries received.  Each potential winner will be notified by direct message in Instagram.  Potential winner must respond to Yamaha’s notification within 5 business days or potential winner may be disqualified, and his/her prize may be awarded to an alternate winner.  If any prize notification is unclaimed or returned as undeliverable, or in the event of non-compliance with these Official Rules, the prize will be forfeited and may be awarded to an alternate winner.

Winner is solely responsible for all federal, state and local taxes, and winner may be issued an IRS Form 1099 for the value of the prize.  Winner may be required to sign an Affidavit of Eligibility and Liability and Publicity Release indemnifying the Released Parties (as defined below) from any and all liability related to the awarded prize.  Each potential winner may also be required to sign one or more additional agreements to confirm all terms of these Official Rules, as well as an IRS Form W-9.  Failure to sign and return any documents when requested, or the providing of any false or incomplete information, may result in disqualification. Prize will only be shipped to a valid U.S. street address, and not a post office box.    If any winner is deemed a minor under the laws of his/her place of residence, a parent or legal guardian must sign all required documents.

7.     PRIZES & VALUE. The chart below identifies the drawing date, number of potential winners, prizes available, and approximate retail value of each prize.      

The total approximate retail value of all prizes is $1,797.00.  Prizes include the available manufacturer’s warranty.   No prize substitutions, cash equivalent or transfer of prizes permitted except at the sole discretion of Yamaha.  Yamaha is not responsible for lost or misdelivered prizes due to entrant’s inaccurate or improper address information.  Yamaha is not responsible for lost, stolen or damaged prizes, once received and in the possession of prizewinner.  Yamaha retains the right to substitute prizes of equal or greater retail value in the event any advertised prize becomes unavailable.    Limit one (1) prize per person.

8.    INTERNET. If, for any reason, Yamaha is unable to conduct this Sweepstakes as planned due to technical failures, such as those caused by a computer virus, hacking, other unauthorized interference, fraud, or any other cause beyond the control of Yamaha which obstructs or otherwise adversely affects the proper administration, reliability, fairness, or integrity of the Sweepstakes, Yamaha reserves the right, at its sole discretion, to disqualify any person found to have interfered or tampered with the Sweepstakes, and if deemed necessary by Yamaha in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes. Yamaha assumes no responsibility for any failure in transmission, however caused, including any omission, interruption, deletion, defect, communications line failure, theft or destruction of information or unauthorized access to entries, their damage or alteration.  Yamaha is not responsible for its failure to receive any email or entry due to software failure, technical problems, human error or transmission congestion on the Internet or at any website, or any combination thereof, including any injury or damage to an Entrant’s, or any other person’s, computer relating to or resulting from participation in this Sweepstakes or downloading of any materials in this Sweepstakes.  CAUTION:  YAMAHA RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER PENALTIES, OR REMEDIES, TO THE FULLEST EXTENT PERMITTED BY LAW, FROM ANY PERSON(S) ATTEMPTING TO DELIBERATELY INTERFERE WITH THE CONDUCT OF THIS SWEEPSTAKES OR TO DAMAGE THE WEBSITE.  Any individual who is found to be tampering with the entry process or the operation of the Sweepstakes , or  to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, or who has previously been barred from any Yamaha offers, social media or other activities, may be disqualified from this Sweepstakes and any future Yamaha Sweepstakes, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.    If a dispute arises over the identity of the person who transmitted an entry associated with an identified email address or social media account, the “Authorized Account Holder” of the email address or social media account associated with the entry will be deemed to be the Entrant.  The “Authorized Account Holder” is defined as the natural person assigned to an email address by an internet access provider, online provider or other organization (e.g. business, education institution, etc.) responsible for assigning email addressees for the domain associated with the relevant email address.  Any entry sent through the use of an automated sending device will not be accepted and will not be considered a valid entry.

9.     PRIVACY.  Any information you submit is to Sponsor, and will be subject to Sponsor’s privacy policy posted at https://usa.yamaha.com/privacy_policy/index.html.  By participating in this Sweepstakes you also agree to Sponsor’s use of your name, photograph, likeness and/or identity for advertising, publicity and promotional purposes, without compensation, unless prohibited by law.

10.   RELEASE. By participating in this Sweepstakes, all entrants and winners release, discharge, and hold harmless Yamaha Corporation of America, its parent company, BLKBOK, Uniphi Good, LLC, Instagram, and their respective partnerships, subsidiaries, divisions, branches, affiliates, assigns and agencies, including, without limitation, their respective officers, directors, shareholders and employees (collectively “Released Parties”) from and against any and all liability or claims for any and all legal claims, injury, loss, illness, litigation or damages arising out of their participation in the Sweepstakes and/or the acceptance, use, misuse, non-use or possession of the prize.  For New Jersey residents, the limitations set forth above are inapplicable where attorneys’ fees, court costs, or other damages are mandated by statute.  Any portion of the prize not accepted by Winner will be forfeited, and the Released Parties are not responsible for any inability of the Winner to accept or use the prize (or portion thereof) for any reason.  Released Parties are not responsible for printing or typographic errors in any Sweepstakes or related material or for stolen, lost, late, misdirected, damaged, incomplete, postage due, and/or illegible entries or mail.  If, in Yamaha’s opinion, there is any suspected or actual evidence of a virus, bug, tampering, unauthorized intervention, fraud technical failures or other causes beyond Yamaha’s control corrupt the administration, securities, fairness integrity or proper play of the Sweepstakes and award the prize from all eligible entries received to date tampering with any portion of the Sweepstakes, Yamaha reserves the right in its sole discretion to disqualify any individual and/or void any entries submitted fraudulently, to modify or suspend the Sweepstakes, or to terminate the Sweepstakes and award the prize using all non-suspect eligible entries received as of the date of such action.  In the event that any dispute arises regarding the meaning or interpretation of these Official Rules, participants agree that the dispute shall be resolved by applying the laws of California and that it shall be resolved by and within the courts of that state. 

11.    GENERAL CONDITIONS. All federal, state and local laws apply.  Yamaha Corporation of America is the final interpreter of these Official Rules.  The decisions of the Sweepstakes Sponsor are final in all matters relating to the Official Rules.

12.   WINNER’S LIST. Sweepstakes Winner will be identified on BLKBOK’s Instagram Account within 14 days of winner’s redeemed prize. 

13.   SPONSOR: Yamaha Corporation of America is the Sponsor of this Sweepstakes and located at 6600 Orangethorpe Ave., Buena Park, California 90620.  Instagram is not a Sponsor of, or associated with, this Sweepstakes.
